User Agreement, Sports Risk Notice & Privacy Policy
This User Agreement is entered into between AHA Inspiration Pte. Ltd. (UEN 202348448Z) (“AHA Inspiration”, “we”, “us” or “our”) and the person accessing, registering for or using the WOW Coach Platform as a user (“User” or “you”).
By creating an account, accessing the WOW Coach Platform, making a Booking, purchasing a Package, or clicking “I Agree”, “Accept” or an equivalent electronic acceptance button, you confirm that you have read, understood and agree to be legally bound by this Agreement. This Agreement takes effect upon such electronic acceptance or upon your first use of the Platform, whichever occurs earlier.
AHA Inspiration is the sole legal entity exercising rights and performing obligations under this Agreement. “WOW Coach” is the brand name used by AHA Inspiration, and the “WOW Coach Platform” or “Platform” means the mobile application, website, digital platform and associated technology developed, owned and operated by AHA Inspiration. WOW Coach is not a separate legal entity.
Accordingly, references to the exercise of contractual rights, collection or processing of payments, refunds, credits, approvals, investigations, suspension, termination, enforcement, indemnities, liability, notices or processing of personal data shall refer to AHA Inspiration.
References to the Platform, Platform functionality, Platform records, WOW Coach Academy or WOW Coach-branded marketing channels refer only to the relevant technology, programme or brand and do not create a separate legal entity or service provider relationship.
PART A — GENERAL USER TERMS
1. Definitions and Interpretation
“AHA Inspiration” means AHA Inspiration Pte. Ltd., a company incorporated in Singapore with UEN 202348448Z and the owner and operator of the WOW Coach Platform.
“AHA Revenue” means only the commission, Platform fee or other service fee actually received and retained by AHA Inspiration for the specific Booking, transaction or matter giving rise to a claim. It excludes amounts collected or held for onward payment to a Provider, venue, payment processor, tax authority or other third party, and excludes refundable balances, credits and taxes.
“Activity” means any sports coaching session, training session, class, camp, clinic, tournament, programme or other physical activity advertised, arranged or booked through the Platform and supplied by an independent Provider.
“Booking” means a confirmed reservation for one or more Lessons or Activities made through the Platform and evidenced by a Booking confirmation or Booking reference.
“Booking User” means the person who makes or pays for a Booking, whether or not that person is the Participant.
“Coach” means the independent sports coach, trainer or instructor who organises, supervises or delivers a Lesson or Activity.
“Package” means a bundled offering of two or more Lessons, Activities or related services sold for an aggregate price or under one Booking reference.
“Parent or Guardian” means a person legally authorised to make a Booking, give consent or accept terms on behalf of a minor or person lacking legal capacity.
“Participant” means the individual who actually takes part in a Lesson or Activity.
“Platform” means the WOW Coach mobile application, website, digital platform, brand and associated services developed, owned and operated by AHA Inspiration. WOW Coach is not a separate legal entity.
“Provider” means the independent person or legal entity that contracts to supply the relevant Lesson, Activity or Package. A Provider may be a freelance Coach, Sports Academy or another approved independent sports service provider. Where the Provider is a Sports Academy or other organisation, the actual coaching may be delivered by an Assigned Coach or other personnel for whom that Provider remains responsible. Where an individual independent Coach personally contracts for and delivers a Lesson or Activity, that Coach is the Provider for that service. An administrative, scheduling or Platform record error does not by itself change the identity of the contracting Provider.
“Sports Academy” means a sports academy, coaching company, club, training organisation or other entity that supplies coaching through one or more Coaches.
“User” means a person who accesses or uses the Platform, including a Booking User and, where the context requires, a Participant.
“Transaction Terms” means the Booking conditions, cancellation, rescheduling and refund rules, Package validity, activity-specific conditions, prices, fees and other terms displayed to the User before confirming a Booking or purchase.
Headings are for convenience only. The singular includes the plural and vice versa. References to legislation include amendments, re-enactments and subsidiary legislation in force from time to time.
2. Acceptance, Eligibility and Authority
2.1 By clicking “I Agree”, “Accept”, “Register”, “Sign Up” or a similar button, or by completing registration, accessing or using the Platform, making a Booking, making payment or continuing to use the Platform after an amendment takes effect, the User electronically accepts and agrees to be bound by this Agreement and the applicable Booking conditions, cancellation and refund policy, Sports Risk Notice, Privacy Policy and any activity-specific terms presented before purchase. Registration itself constitutes acceptance of this Agreement, whether or not the User subsequently makes a Booking.
2.2 An account holder and Booking User must be at least 18 years old and have legal capacity to contract. A person under 18 may participate only through an account and Booking controlled by a Parent or Guardian.
2.3 Where a Booking is made for another person, the Booking User represents and warrants that the Booking User has authority to make the Booking, provide the Participant’s information, accept the applicable terms on the Participant’s behalf where legally permitted and obtain all consent required by law.
2.4 Where the Participant is under 18 years old or lacks legal capacity, the Booking must be made and approved by a Parent or Guardian, who must provide the required health, emergency, privacy and risk consents on the Participant’s behalf where legally permitted.
2.5 The User consents to the creation, storage and use of electronic records, audit logs, timestamps, device records, acceptance records, Booking records, payment confirmations and communications as evidence of registration, acceptance, consent, transactions and notices. Platform records constitute prima facie evidence, subject to correction of manifest error and any credible contrary evidence.
2.6 The User should retain or download the version of this Agreement and relevant Booking confirmation applicable at the time of registration or purchase. AHA Inspiration may retain archived versions and acceptance records for legal, regulatory, dispute-resolution and business purposes.
3. Platform-Only Role and Independent Providers
3.1 AHA Inspiration operates WOW Coach solely as an online marketplace, referral, Booking, payment-administration and customer-support platform.
3.2 AHA Inspiration does not itself provide or undertake the underlying sports coaching service and does not supervise or control the on-site coaching, instruction or manner in which an independent Provider or Coach actually delivers a Lesson or Activity. No Provider, Coach or Sports Academy is an employee, worker, agent, partner, joint venturer or representative of AHA Inspiration solely by reason of participating on the Platform.
3.3 The contract for each Lesson, Activity or Package is between the Booking User or Participant and the applicable independent Provider contracting to supply that service. Where the Provider is a Sports Academy or other organisation, the Lesson or Activity may be delivered by an Assigned Coach or other authorised personnel without changing the identity of the contracting Provider. Where an individual independent Coach personally contracts for and delivers the service, that Coach is the Provider. A listing, Booking confirmation or Platform record containing an administrative, scheduling or system inconsistency does not by itself alter the identity of the contracting Provider.
3.4 AHA Inspiration may host listings, promote services, facilitate communications and Bookings, arrange payment collection, issue invoices and receipts, provide customer support, publish minimum standards, collect compliance documents, monitor feedback and assist with complaints. None of those activities makes AHA Inspiration the supplier of the underlying sports service.
3.5 AHA Inspiration’s collection, processing, holding or remittance of payment, issuance of any invoice, receipt, payment confirmation or transaction record, scheduling support, refund administration or complaint assistance does not alter the identity of the independent Provider.
3.6 Publication, ranking, rating or display of a Provider, profile, review, venue, methodology, qualification or Lesson does not constitute a guarantee, certification, warranty or representation that the service will be free from risk or incident.
3.7 Users acknowledge that any claim concerning the actual delivery, instruction, supervision, safety management, cancellation or non-performance of a Lesson or Activity should be directed to the applicable contracting Provider and, where applicable, the Provider’s insurer.
3.8 Any verification, screening, review or collection by AHA Inspiration of Provider information, qualifications, certifications, licences, insurance or other compliance documents is administrative in nature only. Responsibility for the accuracy, completeness and continued validity of such information and documents remains with the applicable Provider, and any such verification or review by AHA Inspiration does not transfer or assume that responsibility.
4. WOW Coach Academy
4.1 WOW Coach Academy is a programme name used by AHA Inspiration through the WOW Coach Platform to organise and coordinate selected sports programmes. It is not a separate legal entity and does not itself supply coaching services.
4.2 The use of the WOW Coach Academy brand does not make AHA Inspiration the supplier of the underlying sports coaching service. Each Academy Service is supplied by the applicable independent Provider contracting to provide that service.
4.3 Where an Academy Service is supplied by an individual independent Coach, that Coach is the Provider. Where an Academy Service is supplied by a Sports Academy or other organisation, that organisation remains the contracting Provider and may deliver the service through one or more Assigned Coaches or other authorised personnel for whom it remains responsible.
4.4 Under the WOW Coach Academy programme name, AHA Inspiration may assist with programme planning, class scheduling, participant registration, Booking administration, payment coordination, customer communication, venue coordination, Coach matching, promotional activities, collection of feedback and general programme support. The actual coaching, instruction and on-site supervision are performed by the applicable independent Provider or, where the Provider is an organisation, by its Assigned Coach or authorised personnel. AHA Inspiration does not become the supplier of the underlying coaching service merely by carrying out those activities.
4.5 Where a programme is marketed primarily by reference to a named Coach and that Coach is replaced, AHA Inspiration may facilitate a reasonable rescheduling, replacement, credit or refund arrangement on behalf of the applicable contracting Provider.
5. Booking Formation and Packages
5.1 A Booking becomes binding between the Booking User or Participant and the Provider when the Platform issues a confirmation following successful payment and, where required, Provider acceptance.
5.2 A submitted request, enquiry, pending payment or failed transaction is not a confirmed Booking.
5.3 Purchase of a Package creates a contract with the applicable contracting Provider for that Package. Individual Lessons within the Package may be delivered by the Provider personally or, where the Provider is a Sports Academy or other organisation, by an Assigned Coach or other authorised personnel. A change of Coach does not by itself change the contracting Provider for the Package unless the Package is formally transferred to another independent Provider in accordance with the applicable Booking terms.
5.4 The applicable contracting Provider is responsible for the performance, quality, safety, legality, cancellation, rescheduling and non-performance of the Lesson, Activity or Package, including the acts and omissions of any Coach or personnel engaged by that Provider to deliver the service.
5.5 AHA Inspiration may correct an obvious and material pricing or technical error. Where a reasonable person should have recognised the error, AHA Inspiration may cancel the affected Booking and arrange a full refund on behalf of the Provider.
5.6 A Coach may create a proposed Booking on a Booking User’s behalf only where the Platform clearly identifies it as awaiting the Booking User’s confirmation. The proposal does not become binding, and no Package credit may be finally deducted or payment released, unless the Booking User expressly confirms it before the displayed deadline. An unconfirmed proposal expires automatically, and the Platform will retain an audit record of the proposal and confirmation.
6. Invoices, Receipts and Payment Administration
6.1 AHA Inspiration may collect, process, hold and administer payments relating to a Booking as part of its Platform payment-administration services. Payments may be processed by AHA Inspiration or by a third-party payment service provider in the capacity disclosed at checkout.
6.2 AHA Inspiration may issue payment receipts, payment confirmations and transaction records in its capacity as operator of the WOW Coach Platform and payment-administration intermediary. Any tax invoice, credit note or other tax document issued on behalf of a Provider is subject to applicable tax law and the relevant documented invoicing arrangement.
6.3 AHA Inspiration’s collection or administration of payment, or issuance of a payment receipt, confirmation or transaction record, does not make AHA Inspiration the supplier of the underlying Lesson, Activity or Package and does not alter the identity of the applicable contracting Provider.
6.4 Prices, taxes, processing charges, discounts and promotion conditions will be disclosed in the listing, checkout page or Booking confirmation.
6.5 A User must not initiate a chargeback in bad faith or after receiving the booked service. AHA Inspiration and the Provider may submit Booking, attendance and communication records in response to a payment dispute.
6.6 Nothing in this Agreement limits any statutory payment reversal or chargeback right that cannot lawfully be excluded.
6.7 Payment by a User to or through the Platform does not mean that the Provider has immediately earned or become entitled to settlement of that amount. The Provider’s entitlement to settlement arises only after the relevant Lesson, Activity or other service has been completed and the applicable settlement conditions have been satisfied.
7. Cancellations, Rescheduling, Credits and Refunds
7.1 Cancellations, rescheduling, no-shows, lateness, weather arrangements, Package validity, credits, dispute windows and refund fees are governed by the version of the Transaction Terms disclosed before and accepted at the time of purchase. Those terms will be retained with the Booking record.
7.2 Payments are non-refundable except where:
- the applicable cancellation or refund policy permits a refund;
- the applicable contracting Provider agrees to a refund;
- AHA Inspiration approves a refund under Special Circumstances on behalf of the Provider;
- the booked service was not delivered;
- a payment-network rule or chargeback outcome requires a refund;
- a refund is required by law.
7.3 Special Circumstances may include verified serious illness or injury, bereavement, government restrictions, closure of a venue for legal or safety reasons, fire, flood, extreme weather or another exceptional event outside reasonable control.
7.4 The applicable request deadline and evidence requirements will be displayed before purchase and in the Booking record.
7.5 Each Class Package is subject to the validity period displayed at the time of purchase. Users are responsible for using all Sessions before the expiry date. Unless otherwise approved by AHA Inspiration in exceptional circumstances at its sole discretion, any unused Sessions remaining after the expiry date shall automatically expire and will not be refundable, transferable, reinstated or extended.
7.6 AHA Inspiration will assess requests reasonably and in good faith, having regard to the applicable policy, evidence and the rights of the applicable contracting Provider.
7.7 A discretionary refund may be subject to a disclosed administration or processing fee of up to 3.5%, unless prohibited by law. No fee applies where a refund must legally be made in full.
7.8 Approved refunds will generally be initiated within seven business days, but final receipt depends on the payment provider and issuing bank.
7.9 A refund or credit administered by AHA Inspiration does not constitute an admission that AHA Inspiration supplied the service or is liable for its delivery.
8. User Conduct and Off-Platform Transactions
8.1 Users must use the Platform lawfully and must not engage in fraud, harassment, threats, abuse, impersonation, misuse of another person’s account, false reviews, unsafe behaviour or conduct that materially harms another person or the Platform.
8.2 A User must not invite, induce or assist a Provider or Coach to replace a Platform Booking with an off-Platform arrangement, or make payment by cash, PayNow, bank transfer or another method intended to avoid the Platform.
8.3 If a Provider or Coach proposes an off-Platform transaction concerning a service introduced through WOW Coach, the User should decline and notify AHA Inspiration.
8.4 A User shall not record, photograph or publish another Participant or Coach without consent, except where reasonably necessary to document an accident, safety concern or unlawful conduct.
8.5 Platform chat and customer support are not emergency services. A person facing an immediate medical or safety emergency should contact the appropriate emergency service, including 995 for an ambulance or 999 for the police in Singapore.
8.6 The User must not scrape, reverse engineer, bypass access controls, interfere with security, misuse promotions or use automated means to access the Platform except to the extent such restriction is prohibited by law.
8.7 Some Platform functions depend on third-party payment, mapping, notification, analytics, attribution, cloud or app-store services. The Privacy Notice explains relevant personal-data handling, and third-party terms may apply where presented to the User.
9. Reviews and User Content
9.1 Reviews must be genuine, relevant and based on actual experience. Users must not make knowingly false, defamatory, threatening, discriminatory or abusive statements.
9.2 AHA Inspiration may moderate or remove content that is unlawful, fraudulent, irrelevant, abusive or contrary to Platform policy, but is not required to remove a genuine negative review merely because it is disputed.
9.3 The User retains ownership of content submitted through the Platform and grants AHA Inspiration a non-exclusive, worldwide, royalty-free licence to host, reproduce, display, moderate and transmit that content only as reasonably necessary to operate, secure and improve the Platform, fulfil Bookings, resolve disputes and comply with law. AHA Inspiration may permit its service providers to process the content only for those purposes.
9.4 Public advertising or promotional use of a User’s photograph, video, testimonial or other identifiable content requires a separate permission where required by law. Withdrawal of optional promotional consent will apply prospectively, subject to reasonable steps and materials already lawfully published or distributed.
9.5 The User represents that content submitted by the User does not knowingly infringe another person’s rights and that any required consent to upload or share another person’s personal data has been obtained.
PART B — SPORTS RISK, SAFETY AND INCIDENTS
10. Inherent Risks of Sports Activities
10.1 The User and each Participant acknowledge that sports coaching, training, classes, camps, clinics, tournaments and other physical activities involve inherent risks that cannot be completely eliminated even where reasonable care is exercised.
10.2 Such risks may include sprains, strains, falls, collisions, impact from balls or equipment, overexertion, fatigue, dehydration, heat-related illness, aggravation of existing injuries or medical conditions, unsafe or changing surfaces, equipment malfunction, weather and environmental hazards and other foreseeable or unforeseeable incidents associated with physical activity.
11. Voluntary Assumption of Inherent Risk
11.1 To the fullest extent permitted by law, each Participant voluntarily accepts the ordinary and inherent risks associated with the relevant Activity.
11.2 This assumption of risk does not exclude liability that cannot lawfully be excluded, including liability for death or personal injury caused by a person’s negligence.
11.3 The applicable Provider and the Coach actually delivering the Lesson or Activity, and not AHA Inspiration, are responsible for coaching decisions, instruction, demonstrations, physical correction, participant supervision, training intensity and on-site safety decisions. Where the Coach is personnel of a Sports Academy or other organisational Provider, that Provider remains responsible for the acts and omissions of the Coach.
11.4 AHA Inspiration is not present as the instructor or on-site supervisor and does not assume responsibility for the manner in which an independent Provider delivers a Lesson or Activity.
12. Participant Health and Medical Disclosure
12.1 Each Participant is responsible for making a reasonable assessment of whether the Participant is physically, medically and mentally fit to participate.
12.2 A Participant should obtain appropriate medical advice before participating where the Participant has a condition that may affect safe participation, including heart disease, high blood pressure, asthma, epilepsy, diabetes, pregnancy, recent surgery, previous injury, severe allergy or another relevant condition.
12.3 The Booking User and Participant must disclose to the applicable contracting Provider and/or Coach, before the Lesson, health or medical information reasonably necessary for safe instruction and emergency response.
12.4 WOW Coach and independent Coaches are not medical practitioners unless expressly identified as such. Fitness assessments, training suggestions or coaching observations do not constitute medical diagnosis, treatment or advice.
13. Safety Instructions and Right to Refuse Participation
13.1 Participants must comply with reasonable instructions concerning warm-up, cool-down, training intensity, rest, hydration, equipment, positioning, waiting areas, rotations, ball collection, venue rules and emergency procedures.
13.2 A Coach may refuse, suspend or terminate participation where the Coach reasonably considers that the Participant is unfit, impaired, behaving dangerously, failing to follow safety instructions or presenting a risk to any person.
13.3 A Participant must immediately stop and notify the Coach if experiencing chest pain, breathing difficulty, dizziness, fainting, severe pain, sudden weakness, loss of balance, heat-illness symptoms or another condition that may compromise safety.
13.4 Where concussion or significant head injury is suspected, the Participant must not resume the Activity that day and should obtain prompt medical assessment.
14. Equipment, Venues and Weather
14.1 Participants are responsible for ensuring that personally supplied clothing, footwear, protective equipment and sports equipment are suitable and in safe condition.
14.2 A Coach may refuse participation where clothing, footwear or equipment creates an unreasonable safety risk.
14.3 Third-party venue owners and operators remain responsible for premises under their control. Providers and Coaches must nevertheless take reasonable precautions and report obvious hazards.
14.4 A Provider, Coach or AHA Inspiration may postpone, suspend or cancel an Activity where lightning, rain, haze, poor air quality, extreme heat, flooding, venue conditions or another circumstance creates an unreasonable safety risk.
14.5 Any credit, rescheduling or refund resulting from weather or venue closure is governed by the applicable Booking policy.
15. Accidents, Emergencies and Incident Reporting
15.1 In an emergency, the User authorises the Coach, Provider and AHA Inspiration, where reasonably necessary, to stop or modify the Activity, provide first aid within the responder’s competence, contact emergency medical services at 995, contact the Participant’s emergency contact or Parent or Guardian and share information reasonably necessary for emergency response, incident investigation, insurance or legal compliance.
15.2 Emergency assistance, customer support or incident coordination by AHA Inspiration does not constitute an admission of legal liability or an assumption of responsibility for the Lesson.
15.3 A User or Participant should report any accident, injury, near miss, safeguarding concern or material safety issue to the Coach and AHA Inspiration as soon as reasonably practicable and provide reasonably available information and evidence.
15.4 Any claim arising from the actual delivery, instruction, supervision or safety management of a Lesson or Activity should be submitted to the applicable contracting Provider and, where appropriate, the Provider’s insurer. Where the service is delivered by an Assigned Coach or other personnel of a Sports Academy or organisational Provider, the relevant Provider remains responsible for responding to the claim. AHA Inspiration may assist with communication and may administer Platform refunds or safety action, but does not adjudicate legal liability between a User and an independent Provider or make payment on behalf of the Provider.
16. Medical Costs and Personal Insurance
16.1 Except to the extent payable under applicable insurance, required by law or recoverable from a legally responsible party, each Participant remains responsible for personal medical, rehabilitation and insurance costs.
16.2 Users should consider obtaining appropriate personal accident, travel or medical insurance having regard to the Activity and personal circumstances.
16.3 AHA Inspiration requires Providers to maintain insurance appropriate to their services and may request evidence of insurance, qualifications and certifications. Such review is an administrative risk-management measure only and does not guarantee that a policy is valid, adequate or responsive to a particular claim.
17. Children and Vulnerable Participants
17.1 A Participant under 18 must have the consent of a Parent or Guardian.
17.2 The Booking User and Parent or Guardian must provide accurate health, emergency contact and safeguarding information and remain reasonably contactable during the Lesson where appropriate.
17.3 Communication with a minor should ordinarily take place through the Parent, Guardian or an approved group channel, except where reasonably necessary for immediate safety or logistics.
17.4 Physical correction by a Coach should be explained and used only where appropriate, proportionate and consented to.
17.5 Photography, video recording or marketing use involving a minor requires the consent required by law and Platform policy.
17.6 Safeguarding concerns should be reported promptly to AHA Inspiration at +65 8038 5526 and to the appropriate authority where urgent or legally required.
PART C — ACCOUNTS, COMPLAINTS AND LEGAL TERMS
18. Account Suspension and Termination
18.1 AHA Inspiration may suspend, restrict or terminate an account or Booking where reasonably necessary due to breach, fraud, unsafe behaviour, harassment, unlawful conduct, misuse, off-Platform arrangements, payment risk, data-protection concerns or material risk to another person.
18.2 Except where urgent action is reasonably necessary, AHA Inspiration will provide notice of the reason and a reasonable opportunity to respond.
18.3 Account termination does not automatically extinguish confirmed Booking or Package rights. Depending on the circumstances, AHA Inspiration may assist the applicable contracting Provider with completion, replacement, transfer, credit, cancellation or refund.
18.4 AHA Inspiration may immediately cancel future Bookings where continuation would be unsafe, unlawful or impracticable.
18.5 The User may request closure of the account at any time. Account closure does not automatically cancel a confirmed Booking, extinguish an outstanding payment, refund, chargeback, complaint or claim, or require deletion of information that AHA Inspiration is legally or reasonably required to retain.
19. Complaints and Dispute Resolution
19.1 Users should submit complaints promptly through the in-app Help or Customer Service channel or through the current contact details published at www.wowcoach.com.sg. AHA Inspiration will acknowledge the complaint and identify any information reasonably required to investigate it.
19.2 AHA Inspiration may administer the Platform’s Transaction Terms, refunds, account measures and safety procedures and may assist communications between a User and an independent Provider. A Platform decision does not determine legal liability and does not prevent either party from pursuing a statutory or contractual remedy.
19.3 Before formal proceedings against AHA Inspiration, the parties should attempt good-faith written discussions for at least 14 calendar days, except where urgent relief is required.
19.4 This Agreement is governed by Singapore law. The Courts of Singapore have exclusive jurisdiction, subject to any mandatory consumer forum or right that cannot lawfully be excluded.
20. User Indemnity
20.1 The User shall indemnify AHA Inspiration and its affiliates only to the extent that a loss, claim, liability or reasonable cost is caused by the User’s material breach of this Agreement or applicable law, fraud, wilful misconduct, dangerous or reckless conduct, unauthorised representation of another person, or infringing, defamatory or unlawful content.
20.2 The User is not required to indemnify AHA Inspiration to the extent the loss was caused or contributed to by AHA Inspiration’s own negligence, breach, fraud or wilful misconduct.
21. Limitation of AHA Inspiration’s Liability
21.1 Nothing in this Agreement excludes or limits: (a) fraud or fraudulent misrepresentation by AHA Inspiration; or (b) any other liability of AHA Inspiration to the extent that such liability cannot lawfully be excluded or limited under applicable law.
21.2 AHA Inspiration is not the supplier of any Lesson, Activity or Package and, to the fullest extent permitted by law, is not liable for the acts, omissions, negligence, misconduct, instructions, supervision, safety decisions, cancellations, non-performance or service delivery of an independent Provider, Coach or Sports Academy. Where a Coach delivers a service on behalf of a Sports Academy or other organisational Provider, responsibility for that Coach’s service delivery remains with the relevant Provider, subject to applicable law.
21.3 AHA Inspiration is not liable merely because a service is listed, marketed, curated, booked, scheduled, supported, refunded or paid for through the Platform, or because an invoice or receipt is issued by AHA Inspiration.
21.4 To the fullest extent permitted by law, AHA Inspiration is not liable for any indirect, consequential, special or incidental loss, including loss of income, profit, opportunity, customers, goodwill, reputation, anticipated savings, business interruption or management time. A loss that is legally classified as direct loss is not treated as indirect merely because it falls within one of those categories.
21.5 Subject to clause 21.1, AHA Inspiration shall be liable only for direct loss to the extent caused by AHA Inspiration’s own breach of an express obligation under this Agreement, negligence or unlawful conduct in connection with the operation of the Platform, administration of payments or processing of personal data.
AHA Inspiration shall not be liable for any loss caused by an independent Provider, Coach, Sports Academy, venue operator, payment service provider, bank, telecommunications or network provider, or other third party, except to the extent that AHA Inspiration’s own act or omission directly caused or materially contributed to that loss.
21.6 Subject to clause 21.1 and to the fullest extent permitted by applicable law, AHA Inspiration’s total aggregate liability to the User arising from any one event or series of related events shall not exceed Singapore Dollars one thousand (SGD 1,000).
In determining and allocating the risks arising under this Agreement, the parties acknowledge that AHA Inspiration generally receives and retains only the applicable commission, Platform fee or other service fee in connection with a Booking, and that amounts collected for onward payment to a Provider, venue, payment processor, tax authority or other third party do not constitute AHA Revenue actually received and retained by AHA Inspiration.
For the avoidance of doubt, the liability cap in this clause applies only to damages or other claims arising from AHA Inspiration’s own acts or omissions and does not make AHA Inspiration responsible for the acts, omissions, coaching, instruction, supervision, safety management, cancellation, non-performance or other service delivery of any independent Provider, Coach or Sports Academy.
21.7 The liability cap in clause 21.6 does not limit:
(a) the return of any amount that AHA Inspiration is merely holding for the User and is legally or contractually required to return;
(b) any undisputed refund or credit expressly approved under the applicable Booking, cancellation or refund policy; or
(c) any other amount expressly acknowledged in writing by AHA Inspiration as due and payable to the User.
Such amounts constitute payment, refund or restitution obligations and are not damages subject to the liability cap.
21.8 All claims arising from the same or substantially related facts, acts, omissions, system issue, Booking, payment matter, transaction or continuing event shall be treated as one series of related events and shall be subject to one liability cap under clause 21.6.
A User may not avoid the liability cap by dividing substantially related claims into separate claims or proceedings.
21.9 Each exclusion, limitation and liability cap in this clause applies only to the extent permitted and enforceable under applicable Singapore law.
If any exclusion, limitation or liability cap is held to be invalid, unlawful or unenforceable, it shall be modified or severed only to the minimum extent necessary, and the remaining provisions of this clause shall continue in effect.
22. Platform Availability and Force Majeure
22.1 AHA Inspiration does not guarantee uninterrupted or error-free Platform availability and may suspend access for maintenance, security or technical reasons.
22.2 Neither party is liable for delay or failure caused by an event beyond reasonable control, including natural disaster, epidemic, government action, civil disturbance, venue closure or widespread telecommunications, cloud or payment-system failure, provided reasonable mitigation steps are taken.
22.3 Force majeure does not excuse amounts already due for completed services.
23. Amendments, Notices and General Provisions
23.1 AHA Inspiration may amend this Agreement by reasonable prior notice. An amendment will not retrospectively reduce accrued rights relating to an existing paid Booking unless required by law.
23.2 Routine notices may be sent through the Platform, email or another authorised electronic channel.
23.3 If any provision is invalid or unenforceable, it shall be modified or severed only to the minimum extent necessary, without affecting the remainder.
23.4 Failure or delay to exercise a right does not waive that right.
23.5 Electronic acceptance, including acceptance by registration, clicking an acceptance button, making a Booking, making payment or continuing to use the Platform, has the same binding effect as a handwritten signature to the extent permitted by law. Electronic records, timestamps and audit logs may be used to prove acceptance, notice and transactions, subject to manifest error and credible contrary evidence.
23.6 If this Agreement is translated, the English version prevails to the extent of inconsistency.
23.7 The User may not assign or transfer this Agreement, an account, a Booking, Package, credit or voucher without AHA Inspiration’s prior written approval, except where the applicable terms expressly allow transfer. AHA Inspiration may assign or transfer this Agreement to an affiliate or successor in connection with a restructuring, merger, financing, sale or transfer of all or part of its business, provided this does not reduce any mandatory consumer right.
23.8 Except for AHA Inspiration’s affiliates, directors, officers, employees, contractors, payment service providers and agents to the extent a provision expressly benefits them, a person who is not a party to this Agreement has no right under the Contracts (Rights of Third Parties) Act 2001 to enforce it.
23.9 This Agreement, the applicable Booking confirmation, activity-specific terms, cancellation and refund policy, Sports Risk Notice and Privacy Policy form the entire agreement concerning the relevant Platform use or Booking. If there is an inconsistency, the more specific transaction document prevails to the extent of that inconsistency. An administrative, scheduling or system error in a Booking confirmation or Platform record does not by itself alter the identity of the applicable contracting Provider.
23.10 Nothing in this Agreement excludes or restricts any mandatory right or remedy available to a consumer under applicable Singapore law.
PART D — PRIVACY POLICY AND DATA PROTECTION NOTICE
24. Personal Data We May Collect
24.1 Depending on the features used, AHA Inspiration may collect: (a) account and identity data, including name, email address, telephone number, date of birth, gender, profile photograph and login identifiers; (b) Parent or Guardian and emergency-contact information; (c) interests, preferences, health, fitness, accessibility and safeguarding information provided for service or safety; (d) Booking, Package, attendance, payment, promotion, refund, complaint and dispute records; (e) communications, chat messages, reviews, photographs, videos and incident evidence; (f) saved addresses, service locations, precise or approximate location coordinates and map place identifiers; and (g) device, application, operating-system, language, notification token, analytics, attribution, advertising-consent, security and crash-diagnostic data.
24.2 Personal data may be provided by the User, a Parent or Guardian, a Coach or Provider, generated through Platform use, received from payment, mapping, analytics, attribution, cloud, notification or app-store service providers, or created during customer support, safety and fraud investigations.
24.3 AHA Inspiration will not intentionally include raw email addresses, personal telephone numbers, names, emergency-contact details, precise saved addresses or similar direct identifiers in product-analytics event parameters unless objectively necessary, specifically disclosed and lawfully permitted.
25. Purposes of Collection, Use and Disclosure
25.1 AHA Inspiration may collect, use and disclose personal data to register and secure accounts; verify eligibility and consent; provide profiles, search, recommendations, favourites and smart matching; create and manage Bookings, assisted Bookings, Packages and calendar reminders; process payments, promotions, GST, refunds, disputes and Provider settlements; enable chat, notifications, customer support, reviews and blocking; share information necessary for the applicable contracting Provider, delivering Coach, venue or Parent or Guardian to perform or safely manage the Activity; respond to emergencies, incidents, safeguarding, complaints and insurance matters; prevent fraud and misuse; diagnose crashes; improve and measure the Platform; comply with law; and exercise or defend legal rights.
25.2 AHA Inspiration may use payment processors, cloud and hosting providers, analytics and crash-reporting providers, installation-attribution and advertising-measurement providers, mapping and location providers, notification and communications providers, professional advisers, insurers and other processors or recipients reasonably necessary for those purposes. Current categories and material third-party services will be described in the Privacy Notice or an accessible privacy-vendor list.
25.3 AHA Inspiration will disclose only the personal data reasonably necessary for the relevant purpose and will not sell personal data.
26. Health, Emergency and Incident Information
26.1 Health, emergency and incident information will be collected and used only where reasonably necessary for safety, service delivery, emergency response, complaint handling, insurance or legal compliance.
26.2 Such information may be disclosed to Providers, Coaches, emergency responders, medical personnel, insurers, professional advisers, venues, regulators or authorities where reasonably necessary.
27. Consent, Protection, Retention and Overseas Transfers
27.1 AHA Inspiration will provide notification and obtain consent where required by the Personal Data Protection Act 2012, or rely on another lawful basis where permitted.
27.2 AHA Inspiration will implement reasonable administrative, physical and technical safeguards.
27.3 Personal data will be retained only for as long as reasonably necessary for business or legal purposes.
27.4 Personal data may be transferred outside Singapore. AHA Inspiration will take reasonable steps to ensure overseas recipients are subject to legally enforceable obligations providing a standard of protection comparable to the PDPA where required.
27.5 A User may request access to or correction of personal data, or withdraw consent where processing is based on consent, by contacting the Data Protection Officer.
27.6 A request to withdraw consent must be made in writing or by email. AHA Inspiration may require a reasonable period to process the request and explain its consequences. Depending on the scope of withdrawal, AHA Inspiration may be unable to maintain an account, process a Booking, communicate with a Provider or continue providing some Platform functions. Withdrawal does not affect processing already lawfully carried out or processing permitted or required without consent.
27.7 A reasonable fee may be charged for an access request where permitted by law, after advance notice. AHA Inspiration may require identity verification before responding to an access, correction or withdrawal request.
27.8 AHA Inspiration will assess suspected data breaches and notify the Personal Data Protection Commission and affected individuals where required by the PDPA.
27.9 Information already lawfully published, shared, copied, cached or archived by third parties may remain available outside AHA Inspiration’s control after consent is withdrawn or an account is closed.
28. Marketing, Photographs and Recordings
28.1 Marketing communications will be sent only where permitted by law. Users may use available unsubscribe or preference mechanisms.
28.2 Photography or video for marketing will be subject to appropriate notice and consent. Refusal of optional marketing consent will not prevent participation unless recording is integral to and clearly disclosed as part of the booked service.
28.3 Accident, safety or evidence recordings may be retained and used without marketing consent where reasonably necessary for investigation, insurance or legal purposes.
